1. Business Use Only

The Service is intended exclusively for business and professional use. By registering, you confirm that you are acting on behalf of a business entity and not as a consumer. Consumer protection laws do not apply to this agreement.

2. Eligibility

You must be at least 18 years of age and authorized to represent a business or organization in binding legal agreements to use the Service. By using the Service, you warrant that all information you provide is accurate and that you have the necessary authority.

3. Account Registration

4. Subscription, Trial, and Payment Terms

4.1 Trial

New users may access a seven (7) day trial of the Service for a fee of USD $1. The trial automatically converts to a paid subscription unless cancelled before the trial period ends.

4.2 Subscription Plans

Our Service is offered on a monthly or annual subscription basis. Fees are clearly displayed on the Website. Prices may change from time to time; any changes will take effect from the next billing cycle after notice is provided.

4.3 Prices and VAT

All prices are listed exclusive of VAT (Value Added Tax). VAT will be applied where required by law.

Since Collexion provides services exclusively to business users, each User is responsible for ensuring their VAT information is correctly provided during checkout.

4.4 Payment Processing

Payments are securely processed through Stripe, Inc. or its affiliates. By subscribing, you authorize us and Stripe to automatically charge your selected payment method at the start of each billing period until you cancel your subscription.

You agree to Stripe's Terms of Service and Privacy Policy.

4.5 Cancellations

You may cancel your subscription at any time before the next billing cycle. Cancellations will take effect at the end of your current paid period.

No refunds or pro-rated refunds will be issued for unused subscription time or for early termination, except as required by law.

5. Acceptable Use

You agree not to use the Service in any manner that:

• Violates applicable laws or regulations;
• Involves uploading, hosting, or distributing illegal or infringing material;
• Attempts to gain unauthorized access to systems, data, or networks;
• Interferes with or disrupts the operation of the Service; or
• Circumvents billing, usage, or access limitations.

We reserve the right to suspend or terminate your account without notice if you engage in any prohibited activity or if your use presents security, legal, or reputational risk to us.

6. Service Availability and Maintenance

We strive to maintain a high level of availability but do not guarantee uninterrupted or error-free operation. Temporary downtime may occur due to maintenance, updates, or circumstances beyond our control.

We are not liable for any damages arising from service interruptions, delays, or data loss.

7. Intellectual Property

All intellectual property rights in the Website, Service, and related materials (including software, trademarks, and content) are owned by or licensed to Thjis / Collexion. You are granted a limited, non-exclusive, non-transferable license to use the Service solely for your internal business purposes.

You retain ownership of all data and content you upload to the Service (“User Data”). By submitting User Data, you grant us a non-exclusive, worldwide, royalty-free license to host, process, and display it as necessary to operate the Service.

8. Data Protection and Privacy

By using the Service, you acknowledge and agree to such processing.

9. Termination

We may suspend or terminate your access to the Service, with or without notice, if:

• Continued use poses risk to other users or to our systems.

Upon termination, your access to the Service will cease immediately. You may request a data export within thirty (30) days after termination, after which we may delete your stored data.

10. Disclaimer of Warranties

The Service is provided on an “as is” and “as available” basis without warranties of any kind.

We disclaim all express, implied, and statutory warranties, including but not limited to merchantability, fitness for a particular purpose, and non-infringement.

We do not guarantee that the Service will meet your specific requirements, operate without interruption, or be free from errors or vulnerabilities.

11. Limitation of Liability

To the fullest extent permitted by law:

• Thjis / Collexion shall not be liable for any indirect, incidental, consequential, or punitive damages, including loss of profits, data, or business opportunities.
• Our total liability under these Terms shall not exceed the total amount paid by you to us in the twelve (12) months preceding the event giving rise to the claim.

Nothing in these Terms limits liability that cannot be excluded under applicable law.

12. Indemnification

You agree to indemnify and hold harmless Thjis / Collexion, its directors, employees, and affiliates from any claims, losses, or damages (including reasonable legal fees) arising from:

• Your use or misuse of the Service;
• Your breach of these Terms; or
• Your violation of any third-party rights.

13. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of the Netherlands, without regard to conflict of law principles.

Any disputes arising from or in connection with these Terms shall be subject to the exclusive jurisdiction of the competent courts in the Netherlands.

14. Amendments

We may modify these Terms at any time. Updated versions will be posted on our Website and indicated by the “Last updated” date above. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
